Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") are a legally binding agreement between you and Baltu Technologies Inc. ("Baltu," "we," "our," or "us") governing your access to and use of the Baltu platform at baltu.app, including the learner experience, the employer portal, the community partner and group leader portal, the content creator tools, and our public website (together, the "Service").
By creating an account or using the Service you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you confirm that you have authority to bind that organization, and "you" includes it.
2. Eligibility
You must be at least 13 years old to create an account on your own. If you are between 13 and 18, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to these Terms, or through a school or program partner that has obtained the consents required by law. Learners under 13 may use the Service only when enrolled by a school or program partner that has obtained verifiable parental consent or is authorized to consent on a parent's behalf for educational purposes. Partner organizations that enroll learners under 18 are responsible for obtaining those consents and agree to these Terms on the learner's behalf. By using the Service you represent that you meet these requirements.
3. Description of the Service
Baltu is a skills-based training and hiring platform. Depending on your role, the Service includes:
- For learners: free courses, microlessons, and career pathways; quizzes, projects, and assessments, some of which ask you to record audio or video; interactive activities including 3D and virtual-reality experiences; notes and a study list; points, streaks, badges, and certificates; a profile you can share with employers; job opportunities and employer pathways; learning groups run by community partners; and Ask Baltu, an AI tutor available inside lessons
- For employers: a branded company page, job postings with training requirements, a candidate pipeline, talent assessments including recorded and AI-scored responses, workforce training for existing employees, imported SCORM content, and reporting
- For community partners and group leaders: learning groups, learner invitations and join codes, progress and score reporting, and exports
- For content creators: tools to build courses, pathways, and assessments, including AI-assisted generation of text, images, video, narration, and research
We may add, change, or remove features at any time. Some features are available only under a separate agreement.
4. Accounts
4.1 Creating an account
Learners register with an email address and password or by signing in with Google or Microsoft. Employer portal users are provisioned by their organization and sign in through Auth0; the organization's administrators can add, remove, and assign roles to their users. Community partner and creator access is granted by Baltu or by a partner administrator.
4.2 Your responsibilities
- Keep your credentials confidential and do not share your account
- Provide accurate information and keep it current; do not misrepresent your identity, qualifications, skills, work history, or work authorization
- You are responsible for everything that happens under your account
- Tell us promptly at legal@baltu.app if you believe your account has been compromised
4.3 Suspension and termination
We may suspend or terminate your account if you violate these Terms, misuse the Service, or create risk for other users, and we may do so without notice where necessary. You may delete your account at any time from Settings; the Privacy Policy explains what happens to your data when you do.
5. Acceptable Use
You agree not to:
- Break any law or regulation, or infringe anyone's intellectual property or privacy rights
- Post or transmit content that is unlawful, harassing, hateful, sexually explicit, or otherwise harmful
- Record or upload another person's image, voice, or information without their permission
- Submit work that is not your own where an activity asks for your own work, or complete assessments on someone else's behalf
- Attempt to manipulate, jailbreak, or extract the instructions of AI features, or use them to generate content that violates these Terms
- Scrape, crawl, or use bots or automated means to access the Service or collect data about other users
- Interfere with the Service, probe or test its security, or attempt to access accounts, systems, or data you are not authorized to access
- Use learner or candidate information for any purpose other than the training or hiring purpose for which it was shared
- Use the Service for commercial purposes outside of a written agreement with Baltu
6. Intellectual Property
6.1 Our content
The Service and everything in it that we or our licensors created, including course materials, software, designs, text, graphics, video, audio, and the Baltu name and logos, belong to Baltu Technologies Inc. or our licensors and are protected by intellectual property laws. Course content that a content creator or partner publishes on the Service belongs to that creator or partner and is licensed to us for delivery through the Service.
6.2 Your content
You keep ownership of the content you submit to the Service, including profile information, notes, project work, comments, and recordings. You grant Baltu a non-exclusive, worldwide, royalty-free license to host, store, process, transcribe, display, and share that content as needed to operate the Service and as described in the Privacy Policy, including sharing it with employers and group leaders when you choose to. You confirm that you have the rights to grant this license.
6.3 AI-generated content
To the extent we or a content creator hold rights in content generated with the Service's AI tools, that content is treated as course content under Section 6.1. Content you generate through AI features for your own learning, such as Ask Baltu responses, is provided for your personal educational use.
6.4 Your license to use the Service
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose in accordance with these Terms. Learners may use the Service for personal, non-commercial learning and career development. Organizations may use it as described in their agreement with Baltu.
7. AI Features
The Service uses artificial intelligence to generate and review course content, answer questions through Ask Baltu, transcribe recordings, score open-ended and recorded responses, parse resumes, and screen messages for misuse. When you use these features, the relevant content is processed by third-party AI providers as described in the Privacy Policy. You acknowledge and agree that:
- AI-generated content and AI-generated scores may contain errors, omissions, or bias
- AI output is provided for educational purposes and is not professional, legal, medical, financial, or employment advice
- AI scoring is an input to human review, and employers make their own decisions about candidates
- You are responsible for verifying important information before relying on it
- AI features may be rate-limited, changed, or withdrawn at any time
- Attempts to misuse AI features may result in restricted access or account termination
8. Fees
The Service is free for learners. Baltu does not charge candidates to train, to build a profile, or to connect with employers.
Employers, community partners, and content creators may enter into separate written agreements with Baltu that set out fees, such as success fees when an employer hires a candidate introduced through the Service, subscription plans, replacement-credit terms, non-circumvention obligations, and creator compensation. Those agreements control over these Terms for their subject matter. The Service does not currently process payments online.
9. Privacy
Our Privacy Policy explains what information we collect, how we use and share it, and the choices you have. It is part of these Terms.
10. Employers and Candidates
10.1 When learner information is shared with employers
A learner's profile is shared with an employer only when the learner commits to that employer's pathway and chooses to connect, applies for the employer's job opportunity, or accepts the employer's invitation to join the Service. Employers with an expanded-visibility arrangement may view pipeline candidates' profiles, without contact details, before a connection is made. The Privacy Policy lists exactly what is and is not shared.
10.2 Employer obligations
If you use the employer portal, you agree to:
- Use candidate and employee information only to evaluate, hire, onboard, or train the people it concerns, and keep it confidential
- Comply with all employment, anti-discrimination, privacy, and background-check laws that apply to your hiring and training
- Obtain any consents required from candidates for assessments you administer, including recorded responses
- Make your own hiring decisions; Baltu provides training, skill verification, readiness profiles, and introductions, and does not decide whom you hire
- Honor the fee and non-circumvention terms of your agreement with Baltu when you hire or engage a candidate introduced through the Service
Baltu is not a staffing agency or employer of record. Once you hire someone, you are solely responsible for their employment terms, supervision, compensation, and workplace compliance.
10.3 Learner control
Learners can preview the employer view of their profile, choose which projects and self-assessed skills are shared, opt out of employer connections in Settings, and withdraw from a pathway at any time.
11. Learning Groups and Community Partners
11.1 Joining a group
Community partners such as schools, nonprofits, and workforce programs run learning groups on the Service. By joining a group through an invitation, join code, or enrollment by the partner, you agree that the group's leaders, and administrators and authorized instructors of the same partner organization ("Group Leaders"), can see your name and email address, your membership details, your progress and quiz results for courses assigned in the group, and your professional profile as an employer would see it. Group Leaders never see your salary expectations, private skills or unshared projects, your notes, or your activity outside the group. The Privacy Policy describes this in detail.
11.2 Leaving a group
You may leave a group at any time. Group Leaders then stop receiving updates about you, but the partner keeps the record of your participation during your membership.
11.3 Partner obligations
Community partners agree to use learner information only to deliver and report on their programs, to keep it confidential, to obtain any consents required for the learners they enroll, including parental consent for minors, and to comply with the education and privacy laws that apply to them.
12. Content Creators
Subject-matter experts accepted into the content creator program may build and publish courses, pathways, and assessments on the Service. Creators keep ownership of the original content they publish and license it to Baltu for delivery through the Service. Creators are responsible for the accuracy of their content, for having the rights to any material they include, and for not fabricating facts, statistics, companies, or outcomes. Compensation, exclusivity, and publishing terms are set out in the creator agreement, which controls over these Terms for those matters.
13. Third-Party Services
The Service relies on third-party providers, including Google and Microsoft for sign-in, Auth0 for the employer portal, Amazon Web Services for hosting, Resend for email, OpenAI and Google for AI and speech features, Perplexity for creator research, and Notion for website forms and feedback. Course content may link to or embed material from other sites, such as YouTube videos. Your use of those services is subject to their own terms, and Baltu is not responsible for their content or practices.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR ANY CONTENT, INCLUDING AI-GENERATED CONTENT, IS ACCURATE OR COMPLETE.
Completing training on the Service does not guarantee employment, an interview, a certification from any third party, or any particular outcome. Employers make their own hiring decisions.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BALTU TECHNOLOGIES INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR EMPLOYMENT OPPORTUNITY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS OR THE AMOUNT YOU PAID BALTU IN THE TWELVE MONTHS BEFORE THE CLAIM.
16. Indemnification
You agree to defend, indemnify, and hold harmless Baltu Technologies Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Service, the content you submit, or your violation of these Terms or of any law or third-party right.
17. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if we discontinue the Service. On termination your right to use the Service ends. Sections that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, survive termination.
18. Governing Law
These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-law rules.
19. Dispute Resolution
If you have a dispute with us, contact us first at legal@baltu.app and we will try to resolve it informally. If we cannot resolve it within 30 days, either party may bring the dispute to binding arbitration administered by the American Arbitration Association under its rules, held in Arizona, except that either party may seek relief in small-claims court or seek an injunction to protect intellectual property.
Disputes will be resolved only on an individual basis. You and Baltu each waive the right to participate in a class action or class-wide arbitration.
20. Force Majeure
Baltu is not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, labor disputes, power or internet failures, failures of third-party providers, or cyberattacks.
21. Changes to These Terms
We may change these Terms as the Service evolves. If a change is material we will give at least 30 days' notice by email or within the Service before it takes effect. Continuing to use the Service after that date means you accept the new Terms.
22. General
If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any written agreement you or your organization has with Baltu, are the entire agreement between you and Baltu about the Service.
